Under the terms of the deal, generic drugmaker Viatris will acquire all of Pacira’s outstanding shares for $36.50 per share, representing a total equity value of $1.65 billion. Pacira has generated $746m in revenue over the past 12 months.

The deal will expand Viatris’ portfolio with several non-opioid pain treatments in development and two patent-protected, high-margin medicines: Exparel, a liposomal formulation of bupivacaine administered by injection to treat acute post-surgical pain, and Zilretta, an extended-release injectable formulation of triamcinolone acetonide used to treat knee pain caused by osteoarthritis.
